Welcome to Alx Amsterdam Language Experience
By visiting, using, becoming a member of, purchasing a gift subscription from, or subscribing to the ALX. Amsterdam Language Experience or by using the information, tools, features and functionality located on the Alx. Amsterdam Language Experience (the “Service” or the “Site”), you enter into a legally binding contract with the Alx. Amsterdam Language Experience (Oude Eemnesserstraat 3, Hilversum), whether you are a “Visitor” (meaning you simply browse the Site) or a “Member” (meaning you are registered with the Alx. Amsterdam Language Experience). The term “You” or “User” refers to a visitor or member. If you wish to become a member, communicate with other members and/or make use of the service, you must read these Terms and Conditions of Use (the “Terms”) and indicate your acceptance during the registration process.
To use the service, (a) you must be 18 years of age or older, or be 16 years of age or older and have the consent of your parent or guardian to the agreement, and (b) have the power to enter into a legally binding contract with us and not be prohibited from doing so under any applicable law. It also guarantees that any recorded information you send us is true, accurate and complete, and you agree to keep it that way at all times.
Before continuing, you should print or save a copy of this agreement for your records.
- Changes to the Agreement, Term and Termination
The Agreement will continue to apply until terminated by you or Alx Amsterdam Language Experience may terminate the Terms or suspend your access to the Service at any time, including in the event of your actual or alleged unauthorized use of the Service or breach of the Terms. If you or Alx terminate the Terms, or if Alx suspends your access to the Service, you agree that Alx will have no liability and Alx will not refund any amounts it has already paid, to the maximum extent permitted under applicable law. The Service and the content provided is the property of Alx or Alx licensees, and we grant you a limited, non-exclusive, revocable license for personal, non-commercial use of the Service and to receive content available through the Service in your local country, based on the subscription or trial you have selected (the “License”). This License will remain in effect for a period of 20 years unless terminated by you or Alx.
Alx software applications are licensed, not sold, and Alx or its licensor retains ownership of all copies of the software applications even after they are installed on your devices.
All materials in the Services, including content, text, images, software, audio and video files, documentation and Alx are at all times the exclusive property of Alx or its licensors. Such materials are protected by international copyright, trademark and other intellectual property laws. You may not publish, distribute, sublicense, translate or reproduce in any way any material without ALX’s prior written consent. AMSTERDAM LANGUAGE EXPERIENCE.
All trademarks, service marks, trade names, logos, domain names and other features of the Alx trademark are the exclusive property of Alx or its licensors. This license does not grant you any right to use the Alx trademark, service marks, trade names, logos, domain names or any other feature of the Alx trademark, whether for commercial or non-commercial use.
You agree to comply with our User Guidelines (Section 3 below) and not to use the Service in any manner not expressly permitted by the Terms. You only have the right to access and use the Service for lawful purposes.
- User Guidelines
We have established some basic rules to follow when using the Service, to ensure that ALX is enjoyable for everyone. Please follow these rules and encourage other users to do the same.
Please note that the opinions and messages posted by users on ALX do not reflect and are not representative of the opinions of ALX or its employees, affiliates, suppliers or partners. ALX is not responsible for the content of messages sent by users to other users through ALX English Live.
3.1 User-generated content
Alx strives to create a global community of English language learners. In this way, users will be able to post messages, upload and/or contribute content to the Service, including images and text, use chats, participate in group or one-on-one discussions/lessons and find resources in English, such as pen pals, local English schools and job offers (collectively, “User Content”). You have the right to post or otherwise contribute any User Content that you post or otherwise contribute to the Service, and that such User Content, or its use by us, does not violate this Agreement, any applicable law or the intellectual property rights of others. You grant us a non-exclusive, transferable, sublicensable, royalty-free, worldwide license to use any User Content that you post on or in connection with Alx . This license is valid for five years after termination of your Alx account. In addition to the rights specifically granted to us herein, you retain ownership of all rights, including intellectual property rights in User Content, unless, where applicable under local law, you agree to waive your right to be identified as the author of any User Content on the Service and your right to object to the derogatory treatment of such User Content.
You are solely responsible for the User Content material. In addition, by using these Services, you agree not to publish, contribute or publish any material that:
- Contains content that is not original or has not received the prior written consent of the issuer of such content.
- Contains offensive or profane, pornographic, sexually explicit, defamatory or libelous language.
- Try to contact a fellow user of the Service without explicit request from that user.
- Contains viruses or any code designed to interrupt, destroy or disable the functionality of any software, hardware or telecommunications.
- May be considered “spam,” such as chain letters, junk mail, or other requests.
- Attempts to impersonate another person or violates the security of the service and its users.
Alx may remove any posted messages, discussions/recorded lessons or User Content at any time. Using the directory for any purpose other than Apprenticeship among Alx members is strictly prohibited.
Alx does not actively monitor, review or modify User Content, but reserves the right to monitor the Services for purposes of determining that use is in accordance with this Agreement and applicable law. Alx may remove or disable access to any User Content for any or no reason, including but not limited to User Content that, in Alx‘s sole discretion, violates the law, this Agreement or is otherwise unacceptable to us. Alx may take these actions without notice.
If you believe that any User Content violates intellectual property rights, or that your rights have otherwise been violated by any User Content, or if you believe that any User Content does not comply with User Guidelines, please contact us at firstname.lastname@example.org
3.2 Intellectual Property . Alx respects intellectual property rights and expects you to do the same.
This means, for example, that the following is not allowed: (a) copy, reproduce, or make available to the public any part of the Service or content delivered through the Service, or otherwise any use of the Service not expressly permitted under these Terms; (b) reverse engineer, decompile, disassemble, modify or create derivative works based on the Service or any part thereof; (c) circumvent any technology used by Alx, its licensors or third parties to protect content accessible through the Service; (d) rent or lease any part of the Service; and (e) provide your password to another person or use another person’s username and password.
- Use any robot, spider, data mining, deep link, similar automated data collection or extraction tools, program, algorithm or methodology to access, acquire, copy or monitor Alx or any part of Alx, without the express written consent of Alx, so that it may be hidden in Alx’s sole discretion The use or attempted use of any engine, software, tool, agent, or other device or mechanism (including but not limited to browsers, spiders, robots, avatars, or intelligent agents) for browsing or searching Alx, other than search engines and search agents available through the Service and other than generally available third-party web browsers (e.g., Microsoft Explorer); o
- Attempt to decipher, decompile, disassemble, or reverse engineer the software or in any way compose a part of ALX or the Service. If you believe that any User Content violates intellectual property rights, contact us at ALX. email@example.com
3.3 User activities
Please respect ALX users and other users of the Service.
Do not engage in any activity on the Service, contribute or upload User Content, including registering and/or using a user name, that (a) is or includes material that is offensive, abusive, defamatory, pornographic or obscene; (b) is unlawful, intended to promote or commit an unlawful act of any kind, including, but not limited to, violations of ALX’s or a third party’s intellectual property rights, privacy rights or proprietary rights; (d) includes malicious content, such as viruses, worms, Trojan horses or any other contaminating or destructive feature, or otherwise interferes with any user’s access to the Service or the proper functioning of ALX or the Service; (e) is intended to harass or intimidate other users; (f) impersonates or falsifies your affiliation with another user, person or entity or is fraudulent, false, or deceptive; (g) is the transmission of mail (“spam”), junk mail, chain letters or the like; (h) includes commercial or sales activities, such as advertising, contests, sweepstakes or pyramid schemes; (i) promotes commercial or service products; (j) interferes with the Service, falsifies or attempts to test or explore vulnerabilities in the Service or in Alx‘s computer systems or networks or breaches Alx’s security or authentication measures (k) conflicts with the Agreement, as defined by Alx.
Please be reflective about what we do publicly at Alx . The Service includes interactive and social features, including the ability to post and otherwise contribute User Content, share content and post certain information about you, as described in your Account Settings. Remember that information shared, recorded or otherwise publicly available can be used and shared again by other users on Alx or through the web, so please use Alx carefully and manage your account settings regularly. Alx has no responsibility for your choices to make public any material or actions on the Service.
You are responsible for keeping your Alx account (the “Account”), username and password secret. Understand that you are responsible for any use of your username and password on the Service. If your username or password is lost or stolen, or if you believe there has been unauthorised access to your account by third parties, please contact us here immediately and change the password as soon as possible.
In order for the Service to function effectively, you must also keep your registration information up to date and accurate. If you do not do this, the accuracy and effectiveness of the Service will be affected.
In our discretion, we may terminate your account, or modify, retrieve or delete any user name associated with your Account, for any reason (including reasons related to illegal or unauthorized use) and we are not required to keep a record of your account or any data or information that has been stored through the Account and/or the Service.
- Technology Limitations and Modifications
Alx will make reasonable efforts to keep the Service operational. However, certain technical difficulties or maintenance may, from time to time, result in temporary interruptions. Alx reserves the right, from time to time and at any time, to modify or discontinue, temporarily or permanently, the functions and features of the Service, with or without notice, without liability for any interruption, modification or discontinuance of the Service or any function or feature thereof. You understand and agree that Alx has no obligation to maintain, support, improve or update the Service, or to provide specific content or through the Service.
- Privacy and Security Policy
- Consent to the Processing of Personal Data
Alx will process your personal data, such as personal data provided by you or generated through your activities on the Site for the purposes of providing you with English language training, for customer service, or otherwise necessary to carry out the contract for language training between you and us.
Please note that we recommend that you do not disclose any confidential personal information on or through the site or otherwise to us.
We may share your personal data with our affiliated companies and other business partners, both inside and outside the Netherlands. We have put in place adequate safeguards for transfers of your personal data outside the Netherlands, including the standard data protection clauses adopted by the European Commission. Alx and its affiliates may also use your personal data, combined with information obtained from third party sources, to market our products and services, including special promotions based on your interests.
You have the right, at any time, to withdraw your consent or to object to the use of your personal data for direct marketing purposes by contacting us at the address below. firstname.lastname@example.org
We will only retain your personal data for as long as is necessary for the purposes for which it was collected or in accordance with time limits set by law and good market practice, But in no event more than five (5) years after you have completed the course, unless a subsequent retention is required for the fulfillment of a legal obligation or for the establishment, exercise or defense of legal claims. We will keep your personal data for marketing purposes until you withdraw your consent.
If you would like a copy of the information Alx has about you, or a copy of the standard data protection clauses, or if you would like to rectify or delete personal data, or restrict the processing of personal data, otherwise object to our process, or use your right to data portability, please contact Alx or email@example.com. If you wish to file a complaint, contact the supervisory authority in the country where you live.
- Rates and Payments
Some materials and features of the Alx Site are available only through the purchase of an Alx Course. In accordance with this Agreement, you are responsible for any charges related to your connection to the Site. Alx reserves the right to change its Registration fees at any time or to set new fees, by means of a notice posted on the Site and sent by email to its members.
The purchase details of your current course are always available through the “Account Settings” section of the Alx course website and through the terms and conditions you received when you purchased the course (including details on the payment plan and cancellation policy).
If your paid subscription contains classes led by a teacher, whether group or private, such sessions are delivered on a “use it or lose it” basis, this means that if you have not used such sessions at the end of your subscription, you lose such unused sessions and they will not be refunded. If your paid subscription is a monthly recurring subscription, your teacher-led sessions will expire at the end of each month as described above.
Alx guarantees that any credit card transaction you make on the Alx website is absolutely safe.
Only for markets and e-commerce:
If you purchased a monthly subscription through the website (ADD SPECIAL OFFER LANGUAGE, IF HUBIESE). If you decided to continue studying and not cancel your registration before the expiration of this trial period, the registration will be automatically renewed at the standard price every 30 days (or according to the quota you selected in case of other promotions). You can cancel a monthly subscription at any time by sending us an email at firstname.lastname@example.org, but all fees paid are non-refundable after the trial period.
- Limitation and compensation
You agree that, to the extent permitted by law, your sole and exclusive remedy for any problem or dissatisfaction with the Service, or third party applications is to uninstall any Alx software and stop using the Service or third party applications.
TO THE EXTENT PERMITTED BY LAW, IN NO EVENT SHAREHOLDERS, SHAREHOLDERS, EMPLOYEES, AGENTS, DIRECTORS, SUBSIDIARIES, AFFILIATES, SUCCESSORS, DESIGNATES, SUPPLIERS OR LICENSORS SHALL BE LIABLE FOR (i) ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF USE), DATA, BUSINESS OR BENEFITS), ARISING FROM THE USE OR INABILITY TO USE THE SERVICE, THIRD PARTY APPLICATIONS OR THIRD PARTY APPLICATION CONTENT, regardless of legal theory, without regard to the fact that alx has been advised of the possibility of such damages, and even if a remedy does not serve its essential purpose; (ii) ADDED LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE, THIRD PARTY APPLICATIONS, OR THIRD PARTY APPLICATIONS CONTENT FOR MORE THAN THE AMOUNTS PAID BY YOU TO THE COMPANY DURING THE PREVIOUS THREE MONTHS IN QUESTION.
Nothing in this Agreement eliminates or limits Alx’s liability for fraud, fraudulent misrepresentation, death or personal injury caused by its negligence to the extent permitted by law.
You agree to indemnify, defend and hold harmless Alx and its affiliates, partners, suppliers and employees from any and all liability, claims, costs or damages arising out of your use of Alx or the Services or breach of this Agreement.
Alx may assign the Agreement or any part of it without restrictions. You may not assign the Agreement or transfer or sublicense your rights under this license to any third party.
If any provision of the Terms is held invalid or unenforceable for any reason to any extent, such invalidity or enforceability shall in no way affect or render invalid or unenforceable the remaining provisions of the Terms, and the enforcement of such provision shall be enforced to the extent permitted by law.
Unless otherwise agreed or required by mandatory law, these Agreements are subject to the laws of the Netherlands, regardless of choice or conflict of law principles. In addition, Alx and you agree to the exclusive jurisdiction of the courts of the Netherlands to resolve any dispute, claim or controversy arising out of or relating to this Agreement. The European Commission envisages an online dispute resolution platform, which can be accessed here: http://ec.europa.eu/consumers/odr/. If you would like to bring an issue to our attention, please contact us at email@example.com.
You agree that if Alx does not exercise or enforce any right or remedy contained in the Agreement (or that Alx has the advantage under any applicable law), this will not be a formal waiver of Alx’s rights and those rights or remedies will still be available to Alx.
All covenants, agreements, representations and warranties in this Agreement shall survive termination of this Agreement.
